1. Acceptance of these Terms
These Terms of Use ("Terms") govern your use of the Alight website at alighttravel.app (the "Site"), the Alight phone-number waitlist, and the Alight iOS application (the "App"), each provided by Accipiter Industries, Inc. ("Alight," "we," "us," "our"). The Site, waitlist, and App are together the "Service."
By using any part of the Service — including by joining the waitlist or installing the App — you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility
To use the Service you must be at least 18 years old and capable of entering into a binding contract under the laws of your jurisdiction. By using the Service you represent that you meet these requirements. The Service is not intended for, and you may not use it on behalf of, anyone under 18.
If you are using the Service on behalf of an organization (for example, your employer), you represent that you have authority to bind that organization, and "you" in these Terms refers to both you and that organization.
3. SMS waitlist — consent and conditions
3.1 Your consent
When you submit the waitlist form on the Site, you give us your express written consent to send you one or more SMS text messages from Alight at the phone number you provided. The exact disclosure presented to you at the time of submission was:

We retain a record of the disclosure text and the timestamp of your consent.
3.2 What you will receive
We expect to send a small number of SMS messages — typically one launch notification, and possibly a small number of follow-up messages about early access. We do not send recurring marketing text messages.
3.3 How to opt out
You can opt out at any time by replying STOP to any SMS message from Alight, or by emailing hello@alighttravel.app. Reply HELP for help. Standard message and data rates from your carrier may apply. Message frequency varies.
3.4 No purchase required
Your consent to receive SMS messages is not a condition of any purchase or of access to any product or service.
4. Your account (App)
4.1 Account creation
To use most features of the App, you will create an account. You agree to provide accurate, current, and complete information, and to keep that information up to date. You are responsible for safeguarding access to your account, including the email or phone number used to receive sign-in codes.
4.2 Account security
Notify us immediately at hello@alighttravel.app if you believe your account has been accessed without your authorization. We are not liable for any loss arising from unauthorized account access caused by your failure to safeguard your sign-in credentials.
4.3 Account termination
You may delete your account at any time from within the App. We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we determine in our reasonable discretion violates these Terms, applicable law, or the rights of others.
5. Your content
5.1 What is "your content"
"Your content" means the trip data, notes, files, and other information you provide to or generate using the App, including emails you forward to Alight for parsing.
5.2 You retain ownership
You retain all rights you have in your content. We do not claim ownership of your content.
5.3 License to operate the Service
To operate the Service, you grant Alight a non-exclusive, worldwide, royalty-free license to host, store, transmit, parse, display, and process your content solely as needed to provide the Service to you and to people you have explicitly chosen to share content with (for example, friends connected on shared trips). This license ends when you delete your content or your account, except to the extent necessary to comply with law or to maintain backup or audit copies for limited periods.
5.4 Your responsibility
You are responsible for your content and for any consequences of submitting it. You represent that you have the rights necessary to provide your content to us and that your content does not violate any third party's rights or any law.
6. Acceptable use
You agree not to:
- Use the Service in violation of any applicable law, regulation, or court order
- Use the Service to harass, defraud, harm, or impersonate any person
- Reverse-engineer, decompile, or attempt to extract the source code of the App except as permitted by law
- Use automated systems (bots, scrapers) to access the Service except via interfaces we expressly provide
- Probe, scan, or test the vulnerability of the Service, or breach any security or authentication measure
- Submit malicious code or content that contains viruses, worms, or other harmful components
- Resell, sublicense, or commercially exploit the Service or its content without our written permission
- Forward emails to our parsing address that you do not have the right to forward
- Submit phone numbers, emails, or names that are not your own to the waitlist
We may investigate and take legal action in response to violations.
7. Third-party services
The Service may include or link to third-party content, services, or websites (for example, links to airline confirmation pages, or flight search results from Duffel). We do not control and are not responsible for those third parties. Your use of third-party services is subject to their own terms and privacy practices.
8. Intellectual property
The Service — including its software, design, brand, logos, and original content — is owned by Alight or our licensors and is protected by copyright, trademark, and other intellectual-property laws. Except for your content, nothing in these Terms grants you any right, title, or interest in the Service.
The "Alight" name, the Alight logo, and related marks are trademarks of Accipiter Industries, Inc. You may not use them without our prior written permission.
9. Beta nature of the Service
The Service is currently in pre-release / beta. Features may change, be added, or be removed without notice. We may suspend access to the Service for maintenance, upgrades, or operational reasons. We do not promise that any specific feature will be available, will work without errors, or will continue to be offered.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY ITINERARY DATA, FLIGHT INFORMATION, OR PARSED EMAIL OUTPUT WILL BE ACCURATE OR COMPLETE. YOU ARE RESPONSIBLE FOR VERIFYING TRAVEL DETAILS DIRECTLY WITH AIRLINES, HOTELS, AND OTHER TRAVEL PROVIDERS BEFORE RELYING ON THEM.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
(a) ALIGHT AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
(b) ALIGHT'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU HAVE PAID ALIGHT FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (ii) ONE HUNDRED U.S. DOLLARS ($100).
(c) THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, EVEN IF ALIGHT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the maximum extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Alight and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service in violation of these Terms or applicable law, (b) your content, or (c) your violation of any third party's rights.
13. Governing law and dispute resolution
13.1 Governing law
These Terms are governed by the laws of the State of [STATE] and applicable U.S. federal law, without regard to its conflict-of-laws principles.
13.2 Venue
Any dispute arising out of or related to these Terms or the Service will be brought exclusively in the state or federal courts located in [COUNTY, STATE], and you consent to the personal jurisdiction of those courts.
13.3 Informal resolution
Before bringing any formal proceeding, you agree to first contact us at hello@alighttravel.app with a brief description of your dispute and to attempt to resolve it informally for at least 30 days.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms in the App or on the Site, and where appropriate, by email or SMS. Continued use of the Service after the effective date of the updated Terms means you accept them.
15. Miscellaneous
15.1 Entire agreement
These Terms, together with the Privacy Policy and any other policies referenced here, constitute the entire agreement between you and Alight regarding the Service.
15.2 Severability
If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect.
15.3 No waiver
Our failure to enforce a provision of these Terms is not a waiver of our right to do so later.
15.4 Assignment
You may not assign these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
15.5 No agency
These Terms do not create any agency, partnership, joint-venture, or employment relationship between you and Alight.
15.6 Force majeure
We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet outages, or governmental action.
